INTRODUCTION: Edmunds.com, Inc. ("Sponsor") is offering the Edmunds.com #Washme Contest (the "Contest") described in these Edmunds.com #Washme Contest Official Rules Official Rules (the "Official Rules").
ELIGIBILITY: The Contest is only open to individuals who: (i) are legal residents of the United States (except residents of Puerto Rico and all U.S. territories or possession and overseas military installations), (ii) have a valid email address, and (iii) are 18 years of age or older (19 years of age or older in Alabama and Nebraska and 21 years of age or older in Mississippi) as of the date they enter the Contest. In addition, in order to be eligible to win the Prize, a potential winner must also correctly complete, execute and return (as directed in the Winner Notification Section below) an Affidavit, Waiver, Release and Indemnity Agreement (including where lawful a publicity release) and if applicable, IRS W-9, and must provide all the information to Sponsor requested therein (including the potential winner's real name and physical address). Employees, officers and directors of Sponsor and its affiliates and agents, and the foregoing employees', officers' and directors' immediate family members (as defined by the IRS) or household members are NOT eligible to enter the Contest.
ENTRY PERIOD: The Contest entry period will start at 12:01 a.m. PT on June 26, 2013 and end at 11:59 p.m. PT on July 24, 2013 (the "Entry Period"). All Entries must be received during the Entry Period to be eligible.
HOW TO ENTER: Individuals who meet the eligibility requirements in the Eligibility Section above ("Participants") may enter the Contest during the Entry Period by doing all of the following ("Entry"): (i) uploading and posting to public an original photo (i.e., taken by the Participant and not obtained from a third party) of his or her dirty vehicle to the Instagram feed with the tag #WashMe & @edmundsinc; (ii) following @edmundsinc on Instagram from the date Participant enters the Contest until the end of the Entry Period, and (iii) emailing his or her full name, email address and Instagram username to dirtycarcontest@edmunds.com. In order to enter, a Participant must have an Instagram account. Visit http://instagram.com for a free account. Entries must be received before the end of the Entry Period and the Sponsor's database clock will be the official timekeeper for this Contest. Entries become the exclusive property of Sponsor and will not be returned or acknowledged.
Limit: One (1) Entry per Instagram Account during the Entry Period.
PHOTO REQUIREMENTS: All photos submitted as part of an Entry must: (i) comply with the terms of these Official Rules and Instagram's terms and policies; (ii) be the Participant's original creation; and (iii) not have been previously published or submitted in any other promotion. In addition, a photo may not feature any: (a) any nudity; (b) material this is libelous or defamatory; (c) violent, obscene, discriminatory, unlawful, hateful, pornographic, sexually suggestive or other offensive content; or (d) material that would violate or infringe upon the rights of any third party, including copyrights (including, without limitation, copyrighted images or footage), trademarks or rights of privacy or publicity. Sponsor reserves the right to disqualify any Entry with a photo that does not comply with the foregoing requirements.

No cash or other substitution may be made, except by Sponsor in the event that the Prize or part thereof cannot be awarded for any reason; in such event, Sponsor will in its sole discretion award a substitute prize of the same or greater value.
The Prize winner is solely responsible for any and all applicable federal, state and local taxes (including where applicable sales tax) due with respect to the Prize awarded to him/her, as well as all applicable fees and expenses related to the acceptance and award of the Prize.
WINNER SELECTION AND NOTIFICATION: All eligible Entries will be judged by Sponsor based on the following criteria: photographic quality, creativity, prominence of dirt on vehicle and adherence to these Official Rules. The determination of the winner shall be made by Sponsor in its sole discretion, and such determination shall be final and binding. Sponsor shall select one (1) winner from the eligible Entries received during the Entry Period. The potential winner (subject to verification) will be notified via email (using the email address provided at as part of the winner's Entry) approximately fourteen (14) calendar days after the end of the Entry Period (the "Notification"). Such Notification shall include an Affidavit, Waiver, Release and Indemnity Agreement, including where lawful a publicity release, and if applicable, an IRS W-9 (collectively, the "Winner Documents"). In order to receive the Prize, the potential winner must within fourteen (14) calendar days of the send date of the Notification: (i) confirm receipt of the Notification by reply email to the sender of the Notification ("Confirmation Email"), and (ii) correctly and fully complete, execute and return via U.S. mail or overnight delivery the Winner Documents as directed in the Winner Documents. All requested information in the Winner Documents must be provided by the potential winner. Please note that additional documents may be required at the discretion of Sponsor. Failure to comply with the requirements of this or other Sections of the Official Rules (or the return of any Notification) may result in disqualification and in the forfeiture of any right to the Prize, in which case an alternate potential winner will be selected by Sponsor. Prize claims and Entries are the sole property of Sponsor and will not be returned.
RELEASE: By participating in the Contest and/or accepting the Prize, a Participant agrees:
To defend, release and hold harmless Sponsor, Instagram, Inc. ("Instagram") and Facebook, Inc. ("Facebook"), and each of their parents, subsidiaries, affiliates and agents, and the foregoing companies' officers, directors, shareholders, employees, representatives and agents (collectively the "Releasees") from and against any actions, claims and/or liability for injury, loss or damage of any kind (including any for the violation or infringement of any proprietary or personal right of any individual or entity, and any personal injury, death and/or property damage) resulting in whole or in part, directly or indirectly, from participation in the Contest, and/or the use, acceptance, or possession of the Prize, and/or participation in a Contest/Prize-related activity. Releasees shall not be liable to a Participant/winner or any other person for failure to supply the Prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor's sole control.
To release the Releasees from any liability in connection with: i) any incorrect or inaccurate Entry information; (ii) any theft, tampering, destruction or unauthorized access to, or alteration or inaccurate transmissions of, or failure to receive an Entry; ii) electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of an Entry; iii) any inability to access Instagram or the Intranet; iv) any typographical or other human or technical errors in the offer or administration of the Contest, including but not limited to errors in advertising, these Official Rules, the selection and announcement of the winner, or the distribution/awarding of the Prize; and v) any omission, interruption, deletion, defect, delay, misdirection, damage, line failure, injury, technical malfunctions or traffic congestion on the Internet/telephone network, on any servers, at any website, on any computer, or any combination thereof, including, without limitation, any injury or damage to any Participant's computer or software relating to or resulting from participation in the Contest.
REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION: By entering the Contest, a Participant warrants and represents that his/her Entry complies with the requirements set forth in these Official Rules (including the Photo Requirements set forth above). A Participant further warrants and represents that the Participant has all appropriate clearances, permissions and releases for his/her Entry, including releases from all persons appearing in the Photo, location releases for all recognizable locations, and releases from anyone who assisted in the creation of the Photo.
Participant hereby agrees to indemnify and hold Sponsor, Instagram and Facebook harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.
CONSENT: By participating in the Contest and/or accepting the Prize, a Participant/winner consents to and gives Sponsor and its representatives, licensees, assignees, parents, subsidiaries, affiliates, divisions, advertising and promotion agencies (collectively the "Licensees"): a) the right to photograph/video a Prize winner and a Prize winner's property (including the awarded Prize); and b) the right in perpetuity to use, reuse, publish and display a participant's/winner's name, address, username, statements, feedback, comments, quotes, opinions, postings, picture, portrait, likeness, voice, photograph(s), video, biographical information, prize information and winner submitted photo(s) including the photo submitted as part of winner's Entry (in whole or in part, as may be adapted, edited or modified, as solely determined by Licensees) for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide (including without limitation the World Wide Web), without review, notification or approval, all without limitation or additional consideration, unless prohibited by law.
CONDITIONS: All decisions of the Sponsor are final and binding on all matters relating to the Contest.
By entering the Contest, Participants (i) affirm that they have read, understood, agreed to, are bound by and have complied with these Official Rules, (ii) agree that winning is contingent on complying with and fulfilling all the requirements of the Official Rules, and (c) agree that the decisions of Sponsor shall be final and binding in all respects.
Sponsor reserves the right in its sole and unfettered discretion to disqualify any Entry that Sponsor believes does not comply with these Officials Rules or is not consistent with the spirit or theme of the Contest. Sponsor further reserves the right to disqualify any individual who tampers with the entry process. Sponsor may prohibit an entrant from participating in a Contest if it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception or other unfair playing practices or intending to abuse, threaten or harass other Participants.
The Participant must be able to provide on request all appropriate clearances, permissions and releases for the photo submitted with his/her Entry, including releases from all persons appearing in the photo, location releases for all recognizable locations and releases from anyone who assisted in the creation of the photo. In the event a Participant cannot provide all required releases, Sponsor reserves the right, in Sponsor's sole discretion, to disqualify the applicable Entry or seek to secure the releases and clearances for Sponsor's benefit.
Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to modify these Official Rules for clarification or other purposes without materially affecting the terms and conditions of the Contest.
Proof of entering information or submission of an Entry is not considered proof of delivery or receipt. Illegible Entries, incomplete Entries, Entries in excess of the stated number above and mechanically reproduced Entries will be disqualified. False, fraudulent or deceptive Entries or acts shall render Participants ineligible. No mailed, telephoned, faxed, or mechanically reproduced Entries will be accepted. Sponsor has no obligation to advise a Participant of an incomplete or otherwise non-compliant Entry. Sponsor is not responsible for lost, late, invalid, unintelligible, incomplete, garbled, inappropriate or misdirected Entries, which will be disqualified. All Entries become the property of the Sponsor and will not be acknowledged or returned.
If for any reason the Instagram feed, the Internet or this Contest is not capable of running as planned, or if this Contest or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Contest and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Participants or visitors, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Contest or any portion thereof (collectively, a "Contest Revision").
In the event of a Contest Revision, notice thereof will be posted in these Official Rules at http://edmu.in/rules. If due to a Contest Revision the Contest is cancelled or ends during the Contest Period, the Sponsor will select a winner from all eligible, non-suspect Entries (if any) received prior to the time of the action or event warranting such Contest Revision. Releasees shall have no liability to any Participant who is disqualified due to a Contest Revision.
ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
WINNERS LIST: To obtain the name of the Prize winner, send a self-addressed stamped envelope to Edmunds Inc., 1620 26th Street, Suite 400 South, Santa Monica, CA 90404, Attn: Claire Barthelemy. All such requests must be received by within one (1) month of the last day of the Entry Period.
DISPUTES: The laws of the State of California apply to and govern this Contest and any claims must be raised and resolved in the federal or state courts located in Los Angeles County, California, United States. If a dispute arises about who submitted an Entry, the Entry will be deemed submitted by the authorized account holder of the email address used to submit the Entry. The authorized account holder is deemed the natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. A winner may be requested to provide Sponsor with proof that the winner is the authorized account holder of the email address associated with the winning Entry and that all eligibility requirements are met.
